1. INTRODUCTION These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User,” “you”) and GymRatX LLC (“GymRatX,” “we,” “us,” or “our”), a Maryland limited liability company, governing your access to and use of the GymRatX mobile application, website, and related services (collectively, the “Platform”). By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform. 2. ELIGIBILITY You may use the Platform only if: (a) you are at least thirteen (13) years old; (b) if you are under eighteen (18), you have the consent of a parent or legal guardian; and (c) you are not barred from using the Platform under applicable law. By using the Platform, you represent and warrant that you meet these eligibility requirements. 3. ACCOUNT REGISTRATION AND SECURITY To access certain features, you may be required to register an account. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use of your account or breach of security. GymRatX is not liable for any loss or damage arising from your failure to safeguard your account. 4. USER-GENERATED CONTENT The Platform permits users to upload, post, submit, or transmit videos, images, text, audio, and other materials (“User Content”), including challenge submissions and related reactions. By submitting User Content, you represent and warrant that: (a) You own the User Content or have obtained all necessary rights, licenses, consents, and permissions to submit it; (b) Your User Content does not infringe any copyright, trademark, privacy, publicity, or other rights of any third party; and (c) All persons appearing in your User Content have given valid and informed consent to such appearance and to the uses described in these Terms. You acknowledge that User Content may be publicly viewable. 5. LICENSE GRANT TO GYMRATX By submitting User Content, you grant GymRatX a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, adapt, modify, publish, distribute, transmit, display, perform, and otherwise use such User Content, in whole or in part, in any media now known or later developed, for purposes including operation, improvement, promotion, marketing, and advertising of the Platform. This license includes the right to use your name, username, image, likeness, and voice as they appear in your User Content, without additional notice or compensation, to the fullest extent permitted by law. 6. PUBLIC NATURE OF THE PLATFORM You understand that the Platform is designed as a public, competitive environment. Your User Content may be visible to other users and the public, may be shared by others, and may appear in feeds, leaderboards, Hall of Fame listings, and promotional materials. GymRatX is not responsible for any third-party use, copying, or redistribution of your User Content once it has been made publicly accessible. 7. PROHIBITED CONDUCT AND CONTENT You agree not to: (a) Upload User Content that contains nudity, sexually explicit material, or content intended primarily for sexual arousal; (b) Post or promote violence, threats, self-harm, weapons, or dangerous stunts; (c) Harass, bully, or target individuals with abusive, hateful, or discriminatory content; (d) Post hate speech, including content that attacks a person or group based on race, ethnicity, religion, gender, gender identity, sexual orientation, or other protected characteristics; (e) Submit falsified or misleading challenge entries, including deceptively edited videos; (f) Engage in conduct that is clearly unsafe or likely to cause injury; (g) Record or upload videos featuring others without their consent, particularly in gyms, locker rooms, bathrooms, or other sensitive locations; (h) Upload content depicting minors in unsafe, exploitative, or inappropriate circumstances; (i) Promote or depict illegal drug use, steroids, or other unlawful activity; or (j) Use the Platform in any manner that violates applicable law or regulation. GymRatX may remove content or suspend accounts at its sole discretion for actual or suspected violations. 8. FITNESS DISCLAIMER AND ASSUMPTION OF RISK You acknowledge that physical exercise and participation in fitness challenges involve inherent risks, including injury and serious health events. You understand that GymRatX does not provide medical advice and that all workouts and challenges should be performed only if you are medically cleared to do so. You assume all risks associated with your participation in any activity accessed through the Platform and agree that GymRatX is not responsible for injuries, health issues, or damages arising from such participation. 9. THIRD-PARTY SERVICES The Platform may link to or integrate with third-party services or content. GymRatX does not control such third parties and is not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and may be subject to separate terms. 10. TERMINATION GymRatX may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, the rights granted to you under these Terms will cease, but the license granted by you to GymRatX regarding User Content will survive as described herein. 11. INFORMATION WE COLLECT We may collect: (a) Account Information: email address, username, password, profile name, profile image, and other basic account details; (b) User Content: videos, images, audio, comments, reactions, and other materials you submit; (c) Usage Data: challenge participation, views, likes, votes, watch history, and feature usage; (d) Device and Technical Data: IP address, device identifiers, hardware model, operating system, app version, language preferences, and crash or performance logs; (e) Communication Data: messages you send to us for support, feedback, or legal requests. 3. We may also use aggregated or de-identified data that cannot reasonably be used to identify you for analytics and business purposes. 5. USER-GENERATED CONTENT User Content you submit may be publicly viewable within the Platform and may be shared externally. Once content is made public, we cannot control how third parties might copy, share, or use it. You should not upload any content you wish to keep confidential. 6. COOKIES AND TRACKING TECHNOLOGIES We may use cookies, local storage, and similar technologies to maintain sessions, remember preferences, and analyze usage. 1. INTRODUCTION GymRatX LLC (“GymRatX”) respects the intellectual property rights of others and expects users to do the same. This Copyright & DMCA Policy describes how copyright owners may report alleged infringement under the U.S. Digital Millennium Copyright Act (“DMCA”). 2. REPEAT INFRINGERS In appropriate circumstances, GymRatX may terminate accounts of users determined to be repeat infringers of third-party copyrights. 3. 1. PURPOSE GymRatX is a competitive fitness community built on respect, safety, and fairness. These Community Guidelines (“Guidelines”) apply to all users and all User Content on the Platform. 2. RESPECTFUL BEHAVIOR Treat others with respect. Do not harass, bully, intimidate, or threaten others. Avoid personal attacks, slurs, or other abusive behavior. 3. PROHIBITED CONTENT You may not post or share content that includes: (a) Nudity or sexually explicit material; (b) Hate speech or discriminatory material directed at a protected group; (c) Graphic violence, threats, or content intended to glorify harm; (d) Promotion of illegal activities, including illegal drug use or distribution; (e) Dangerous or clearly unsafe exercise techniques or stunts; (f) Unauthorized filming of individuals, including gym members, without their informed consent; (g) Minors depicted in unsafe, exploitative, or inappropriate situations; or (h) Spam, deceptive schemes, or malicious links. 4. COMPETITION INTEGRITY Challenges must be conducted fairly. You agree not to falsify or deceptively edit entries, manipulate votes, or engage in coordinated abuse that undermines fair competition. 5. MODERATION AND ENFORCEMENT GymRatX reserves the right, but not the obligation, to review and moderate User Content. We may remove content, disqualify challenge entries, or suspend or terminate accounts for violations of these Guidelines or the Terms of Service. 6. REPORTING If you encounter content or behavior that appears to violate these Guidelines, you are encouraged to report it using the mechanisms provided in the Platform or by contacting GymRatX directly. 7. ACKNOWLEDGMENT OF RISKS You understand that participating in fitness challenges, exercise routines, or physical activities showcased on or facilitated through the GymRatX Platform involves inherent risks, including but not limited to muscle strain, falls, overexertion, sprains, fractures, and serious health events. 2. MEDICAL RESPONSIBILITY You are solely responsible for determining whether you are physically and medically able to safely participate in any activity. GymRatX does not provide medical advice. You are encouraged to consult a qualified healthcare provider before beginning any new exercise program. 3. VOLUNTARY PARTICIPATION Your participation in any activity accessed through the Platform is voluntary. You may stop or modify any exercise at any time. You agree not to exceed your personal limits and to use common sense and caution when engaging in any physical activity. 4. ASSUMPTION OF RISK To the fullest extent permitted by law, you knowingly and voluntarily assume all risks, known and unknown, associated with your participation in activities accessed through the Platform. 5. RELEASE OF LIABILITY To the maximum extent permitted by applicable law, you release and discharge GymRatX LLC and its owners, members, employees, and affiliates from any and all claims, damages, or liabilities arising out of or related to injuries or losses you may sustain as a result of your participation in activities facilitated through the Platform. 6. INDEMNIFICATION You agree to indemnify and hold harmless GymRatX from any claims brought by third parties arising out of your participation in activities, your User Content, or your violation of this Waiver or any other GymRatX policy. 7. By submitting User Content, you agree to be bound by this License Agreement. 2. GRANT OF LICENSE You hereby grant GymRatX a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, modify, adapt, publish, distribute, transmit, publicly display, publicly perform, and otherwise use your User Content, in whole or in part, in any media now known or later developed, for any lawful purpose including operation, promotion, and advertisement of the Platform. 3. USE OF NAME, LIKENESS, AND PERFORMANCE You grant GymRatX the right to use your name, username, image, likeness, voice, and performance as embodied in your User Content, without additional notice or compensation, to the fullest extent permitted by law. 4. PUBLICITY AND REDISTRIBUTION You acknowledge that your User Content may appear in public feeds, challenge pages, leaderboards, Hall of Fame features, promotional campaigns, and social media channels operated by GymRatX. Once publicly displayed, your User Content may be copied or redistributed by third parties, and GymRatX cannot control or prevent all such uses. 5. WARRANTIES AND REPRESENTATIONS You represent and warrant that: (a) You own or control all rights in your User Content; (b) You have obtained all necessary consents from individuals appearing in your User Content; and (c) Your User Content does not infringe any intellectual property, privacy, publicity, or other rights of third parties and does not violate any law or GymRatX policy. 6. SURVIVAL This License Agreement and the rights granted herein shall survive any termination or deletion of your account and any cessation of your use of the Platform. 7.
