GymRatX LLC – Terms of Service

1. INTRODUCTION These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User,” “you”) and GymRatX LLC (“GymRatX,” “we,” “us,” or “our”), a Maryland limited liability company, governing your access to and use of the GymRatX mobile application, website, and related services (collectively, the “Platform”). By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform. 2. ELIGIBILITY You may use the Platform only if: (a) you are at least thirteen (13) years old; (b) if you are under eighteen (18), you have the consent of a parent or legal guardian; and (c) you are not barred from using the Platform under applicable law. By using the Platform, you represent and warrant that you meet these eligibility requirements. 3. ACCOUNT REGISTRATION AND SECURITY To access certain features, you may be required to register an account. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use of your account or breach of security. GymRatX is not liable for any loss or damage arising from your failure to safeguard your account. 4. USER-GENERATED CONTENT The Platform permits users to upload, post, submit, or transmit videos, images, text, audio, and other materials (“User Content”), including challenge submissions and related reactions. By submitting User Content, you represent and warrant that: (a) You own the User Content or have obtained all necessary rights, licenses, consents, and permissions to submit it; (b) Your User Content does not infringe any copyright, trademark, privacy, publicity, or other rights of any third party; and (c) All persons appearing in your User Content have given valid and informed consent to such appearance and to the uses described in these Terms. You acknowledge that User Content may be publicly viewable. 5. LICENSE GRANT TO GYMRATX By submitting User Content, you grant GymRatX a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, adapt, modify, publish, distribute, transmit, display, perform, and otherwise use such User Content, in whole or in part, in any media now known or later developed, for purposes including operation, improvement, promotion, marketing, and advertising of the Platform. This license includes the right to use your name, username, image, likeness, and voice as they appear in your User Content, without additional notice or compensation, to the fullest extent permitted by law. 6. PUBLIC NATURE OF THE PLATFORM You understand that the Platform is designed as a public, competitive environment. Your User Content may be visible to other users and the public, may be shared by others, and may appear in feeds, leaderboards, Hall of Fame listings, and promotional materials. GymRatX is not responsible for any third-party use, copying, or redistribution of your User Content once it has been made publicly accessible. 7. PROHIBITED CONDUCT AND CONTENT You agree not to: (a) Upload User Content that contains nudity, sexually explicit material, or content intended primarily for sexual arousal; (b) Post or promote violence, threats, self-harm, weapons, or dangerous stunts; (c) Harass, bully, or target individuals with abusive, hateful, or discriminatory content; (d) Post hate speech, including content that attacks a person or group based on race, ethnicity, religion, gender, gender identity, sexual orientation, or other protected characteristics; (e) Submit falsified or misleading challenge entries, including deceptively edited videos; (f) Engage in conduct that is clearly unsafe or likely to cause injury; (g) Record or upload videos featuring others without their consent, particularly in gyms, locker rooms, bathrooms, or other sensitive locations; (h) Upload content depicting minors in unsafe, exploitative, or inappropriate circumstances; (i) Promote or depict illegal drug use, steroids, or other unlawful activity; or (j) Use the Platform in any manner that violates applicable law or regulation. GymRatX may remove content or suspend accounts at its sole discretion for actual or suspected violations. 8. FITNESS DISCLAIMER AND ASSUMPTION OF RISK You acknowledge that physical exercise and participation in fitness challenges involve inherent risks, including injury and serious health events. You understand that GymRatX does not provide medical advice and that all workouts and challenges should be performed only if you are medically cleared to do so. You assume all risks associated with your participation in any activity accessed through the Platform and agree that GymRatX is not responsible for injuries, health issues, or damages arising from such participation. 9. THIRD-PARTY SERVICES The Platform may link to or integrate with third-party services or content. GymRatX does not control such third parties and is not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and may be subject to separate terms. 10. TERMINATION GymRatX may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, the rights granted to you under these Terms will cease, but the license granted by you to GymRatX regarding User Content will survive as described herein. 11. DISCLAIMER OF WARRANTIE
