GYMRATX - User Content License & Publishing Authorization

Effective Date: January 1st, 2026

1. INTRODUCTION This User Content License & Publishing Authorization (“License Agreement”) supplements the GymRatX Terms of Service and governs the rights granted by you to GymRatX LLC (“GymRatX,” “we,” “us,” or “our”) with respect to content you upload or submit to the Platform. By submitting User Content, you agree to be bound by this License Agreement. 2. GRANT OF LICENSE You hereby grant GymRatX a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, modify, adapt, publish, distribute, transmit, publicly display, publicly perform, and otherwise use your User Content, in whole or in part, in any media now known or later developed, for any lawful purpose including operation, promotion, and advertisement of the Platform. 3. USE OF NAME, LIKENESS, AND PERFORMANCE You grant GymRatX the right to use your name, username, image, likeness, voice, and performance as embodied in your User Content, without additional notice or compensation, to the fullest extent permitted by law. 4. PUBLICITY AND REDISTRIBUTION You acknowledge that your User Content may appear in public feeds, challenge pages, leaderboards, Hall of Fame features, promotional campaigns, and social media channels operated by GymRatX. Once publicly displayed, your User Content may be copied or redistributed by third parties, and GymRatX cannot control or prevent all such uses. 5. WARRANTIES AND REPRESENTATIONS You represent and warrant that: (a) You own or control all rights in your User Content; (b) You have obtained all necessary consents from individuals appearing in your User Content; and (c) Your User Content does not infringe any intellectual property, privacy, publicity, or other rights of third parties and does not violate any law or GymRatX policy. 6. SURVIVAL This License Agreement and the rights granted herein shall survive any termination or deletion of your account and any cessation of your use of the Platform. 7.
